We are excited to announce an opportunity for an experienced M&A lawyer to join our team. Preferable locations are: Limassol, Warsaw, Tbilisi, and Almaty.
Responsibilities:
** Participate in the support of M&A projects (transactions) in the IT sector, primarily with a foreign element (structuring in Cyprus, the USA, Poland etc.).
** Prepare transaction documents including Shareholders` Agreements (SHA), Share Purchase Agreements (SPA), options, convertible loans, etc.
Requirements:
** Proven experience in M&A transactions, particularly in the IT sector.
** Strong understanding of legal frameworks and regulations related to M&A activities based on English law and/or American law.
** Excellent drafting and negotiation skills.
** Proactive approach and ability to work effectively in a team.
** Fluency in English and in Russian.
** Experience in consulting is an advantage.
