Government of Georgia and the World Bank jointly developed a new investment project in Georgia`s rural sector - Georgia Resilient Agriculture, Irrigation, and Land (GRAIL) Project. The total cost of the Project is 138, 600 mil EURO which is equally split (50/50) between IBRD and the State budget of the Government of Georgia.

The Project Development Objective (PDO) is to: (a) improve irrigation, and drainage services, and agricultural production in project areas, and (b) strengthen national irrigation and land management institutional capacity for climate resilient planning.

The primary beneficiaries of the Project comprise farmers and agricultural enterprises across the project targeted regions.

Overall, the rural population will benefit from enhanced services provided by land management, irrigation services, and agricultural support. In the public sector, the Project will support institutional strengthening of the Ministry of Environmental Protection and Agriculture (MEPA), including Georgian Amelioration (GA), the National Environment Agency (NEA), Rural Development Agency (RDA), and National Agency for Sustainable Land Management and Land Use Monitoring (LMA).

The Project will enhance land administration service delivery and support building digital infrastructure by enhancing National Agency of Public Registry (NAPR)`s information technology systems, development of e-services and further support NAPR`s effort in operationalizing of National Spatial Data Infrastructure (NSDI).

Project has a strong focus on climate resilience and rural livelihoods through a holistic and integrated approach. It will include the following components:

Component 1: Resilient Irrigated Agriculture, divided into three sub-components: 1) Subcomponent 1.1: Irrigation & Drainage Infrastructure Rehabilitation and Modernization; 2) Subcomponent 1.2: Irrigated agriculture and value chain development; and 3) Subcomponent 1.3: Improved Performance of Irrigation Service Delivery.

Component 2: Improved Land Management Capacity, comprising of two sub-components: 1) Subcomponent 2.1: Strengthening of agricultural land management and monitoring; and 2) Subcomponent 2.2: Enhancement of the land administration service delivery and building digital governance infrastructure.

Component 3: Project Management, which will finance two Project Implementation Units that will be responsible for project management: One Project Implementing Unit (PIU) is established within MEPA, which is responsible for management of Component 1 and Subcomponent 2.1. The second PIU is established within the NAPR, the Project Implementing Entity and will be responsible for implementation of Subcomponents 2.2 and 3.2.

Sub-component 2.2 - Enhancing land administration service delivery and building digital governance infrastructure by:

** Enhancing NAPR`s information technology systems, particularly the IPRS by focusing on upgrading of the core cadastre and registration systems, development of selected e-services through innovative technologies to further improve NAPR customers` experience;
** Designing, developing, and deploying of the National Spatial Data Infrastructure by NAPR in collaboration with other institutional stakeholders including by focusing on capacity building, training, knowledge sharing and incorporating best international practices.

Scope of Work and Responsibilities:

The Chief Product Officer (CPO) leads legal review of product-related documents, including contracts, terms of service, and privacy policies, and coordinates with regulatory bodies to validate compliance.

The CPO also supports product planning, oversees Agile team coordination, ensures high-quality documentation, and contributes to reporting cycles by providing legally accurate and audit-ready inputs. This role bridges legal oversight with product delivery, ensuring that all activities are aligned with institutional frameworks and strategic goals.

1. Product Delivery and Alignment:

** Supports Project Manager in effective implementation of product-related activities in accordance with the product roadmap, while maintaining alignment with the Loan Agreement, national policy priorities, and the project`s Results Framework and annual KPIs.
** Provide technical input for the development of the annual work plan and budget, specifically regarding product-related activities, deliverables, and resource requirements.
** Oversee the implementation of product-related tasks within the approved work plan, ensuring they are delivered on time, within scope, and in accordance with the annual KPIs.

Agile Product Development Management:

** Support coordination of Agile product teams composed of Product Owners and multidisciplinary team members assigned per project.
** Oversee sprint planning, execution, and review processes in line with the project`s approved work plan and delivery timelines.
** Ensure visibility and traceability of sprint backlog items, feature releases, and cross-team dependencies.

Legal and Regulatory Compliance:

** Ensure all product components comply with adhere to applicable laws, regulations, and industry standards, including but not limited to data protection, intellectual property rights, consumer protection, and any other relevant legal requirements.
** Coordinate with legal advisors and government regulators to validate compliance and mitigate risks.
** Conduct thorough legal research to identify and understand legal requirements and risks related to product development. Analyze legal implications of product features and provide guidance to the development team.
** Review and draft contracts, terms of service, privacy policies, and other legal documents related to product development, ensuring alignment with legal requirements and best practices.

Documentation and Knowledge Management:

** Support the development and oversee the application of a standardized documentation framework across all Agile product teams.
** Define and maintain a "Must-Do Documentation List" covering all key product development stages.
** Monitor documentation compliance across all teams, conduct regular quality checks, and provide feedback and capacity support as needed.
** Direct teams to update and upgrade documentation in a timely manner based on evolving project needs, compliance reviews, or feedback from supervisory missions.
** Coordinate with the Project Manager and Senior Project officer to ensure documentation supports performance tracking, local and donor reporting.
** Maintain a centralized, version-controlled repository of documentation to support audits, monitoring, and institutional memory.

Reporting and Performance Monitoring:

** Provide timely and accurate inputs to all project reporting requirements to support results-based monitoring and compliance with World Bank and government standards.
** Provide regular updates on product-related progress during each reporting cycle
** Weekly Reports - Provide concise updates on sprint progress, blockers, and next steps.
** Monthly Reports - Summarize progress toward key deliverables, including feature releases, user feedback, and KPI status.
** Quarterly Project Progress Reports - Contribute detailed updates on progress against annual work plan, KPI achievement, product milestones, and risks.
** Annual Reports - Contribute to the development of the GRAIL Annual Progress Report by providing highlights of key achievements, challenges faced, and lessons learned.
** Collaborate closely with the Project Manager and Senior Project officer to ensure reporting is accurate, harmonized across components, and supports audits.
** Support preparation of presentations and reports for project Consultation Council, Working Groups, World Bank missions, and high-level government briefings.

Stakeholder and Team Coordination:

** Liaise with internal and external stakeholders including implementing agencies, World Bank task teams, vendors, and civil society representatives.
** Facilitate cross-team alignment across Agile squads, ensuring coherent implementation of product components.
** Support the Project Manager in risk mitigation, resource planning, and change management processes.

Capacity Building and Sustainability:

** Facilitate transfer of product knowledge to government staff and institutional teams to support sustainability post-project.
** Lead the development of user manuals, SOPs, and onboarding materials.
** Support training and coaching of product owners and Agile team members.

Qualifications, experience, and skills:

Chief Product Officer shall have the following qualifications, experience, and skills:

** At least master`s degree in law is required;
** At least 5 years of proven work experience as a lawyer, with a focus on technology, intellectual property, or regulatory compliance.
** Proven experience in legal research, contract review, and drafting legal documents.
** Strong understanding of relevant laws, regulations, and industry standards and consumer protection.
** Excellent communication and interpersonal skills, with the ability to collaborate effectively with cross-functional teams and communicate complex legal concepts to non-legal stakeholders.
** Analytical mindset with strong problem-solving skills and attention to detail.
** Ability to work independently, prioritize tasks, and manage multiple projects simultaneously.
** Commitment to continuous learning and professional development in the legal and technology domains.
** Proven experience working in agile software development environments and familiarity with agile methodologies (e.g., Scrum, Kanban).
** Familiarity with digital product lifecycle management tools (e.g., Jira, Confluence, SharePoint) and ability to maintain legally compliant documentation in such systems.

Duration

Duration of the assignment is 12 months

The attention of interested Consultants is drawn to paragraph 3.14 "Conflict of Interest" of the World Bank`s Guidelines: World Bank`s "Procurement Regulations for IPF Borrower, July 2016, revised November 2017, revised August 2018 and revised November 2020", setting forth the World Bank`s policy on conflict of interest. In addition, please refer to the following specific information on conflict of interest related to this assignment: The consultant shall not receive any remuneration in connection with the assignment except as provided in the contract. The consultant and its affiliates shall not engage in consulting or other activities that conflict with the interest of the client under the contract. The contract shall include provisions limiting future engagement of the consultant for other services resulting from or directly related to the firm`s consulting services in accordance with the requirements of paragraphs 3.16, 3.17 and 3.18 of the Guidelines.
